| | | R.H. “HANK” SEALE, III, CEO, Founder Seale believes independent financial institutions are an integral part of the communities they serve, and is working toward a vision of reinventing community banking. With a personal investment of approx $10M in Q2 Software, Cardinal Software, and cbanc he is developing products to ensure independent banks provide exceptional, consistent service for generations. When his banking background began in the 1980´s with an independent Austin, TX, bank Seale quickly recognized the promise and opportunities of independent banks. These banks truly knew their customers, but needed to be more competitive by minimizing the advantages of the economies of scale of super–regional banks. Realizing technology held the key to leveling the playing field; Seale co–founded Regency Voice Systems, Inc. in 1991, with an investment $10,000.He directed sales and marketing, achieving more than $7.2 million in revenue and 750 customers by 1996. Regency was sold the following year in a stock transaction valued at more than $70 million. In 1995 as Founder and CEO of Q UP Systems, Inc. investing $100,000, he developed affordable, secure, turn–key systems putting the power of online banking into community banks. State National Bank in Big Spring, Texas, became the first customer in Nov 1996 and the fourth bank in the US to have Internet account access. Before he sold the company to S1 Corporation in 2000 for $415 million, he employed more than 200 people, and had more than 800 customers. In 2000, Ernst & Young selected him as an Austin ´Entrepreneur of the Year´ finalist. He served as Secretary and Treasurer of the Independent Bankers Association of Texas, Young Bankers Division, as President of the American Institute of Banking–Austin and in managerial capacities in several other industry associations. Born August 16, 1962, in Bryan, TX Seale worked each summer on his father´s ranch until he attended Texas Tech University in Lubbock, TX. Seale was a member of Sigma Alpha Epsilon and earned a BS in Agricultural Economics. |
| | | KEITH HARRISON, Senior Vice President of Strategic Alliances Keith Harrison joined CBG Holdings Inc. in October 2008. In his current role he focuses on the development and
management of key third party relationships and also the future direction of strategic alliances for not only CBG
Holdings Inc. but also its subsidiaries Q2 Software, Cardinal Software and the cbanc Network.
Mr. Harrison has more than 35 years in the financial services industry. Prior to his current role, he spent the
last 15 years on the technology side of the business with prior key roles with BISYS Information Services and also
Open Solutions Inc. His areas of expertise include strategic alliances, vendor management, product management of
all electronic delivery channels including internet banking, ATM/Debit, voice and mobile. Other areas include
product management of branch automation platform solutions, CRM solutions, risk/fraud management and also
conversions/implementations management of core systems. Prior to serving the technology side of the financial
services industry, Keith spent 20 years in the community banking space with most of those years in middle to
executive positions within operations and lending management departments of various financial institutions. His
experience includes bank data processing systems and operations, policies and procedures development, financial
management, regulatory reporting, investments, budgeting, and management of operational and lending staffs, as well
as service to numerous bank committees and boards. Mr. Harrison holds a degree in Finance with a minor in Civil
Engineering from the University of Houston.
Keith has also served for years as a Board Member of the EFTA Electronic Funds Transfer Association. |
| | | DAVID NELSON, Chief Financial Officer David Nelson joined CBG in March of 2007 and brings 25 years of finance and operations management experience in both large public and small rapidly growing technology companies. Prior to joining CBG, Mr. Nelson was Chief Financial Officer and / or Chief Operating Officer at four successful venture backed startup technology companies including Trillion Partners and Merrin Financial. While at Merrin, the company was purchased by ADP and Mr. Nelson was Chief Operating Officer for two years. Mr. Nelson started his career at ITT Corporation in various finance and accounting positions as well as a year as Assistant to the Chairman. Mr. Nelson has an MBA in Finance and Accounting from Southern Methodist University, a Masters of International Management from Thunderbird, American Graduate School of International Management and a BA in Economics from Kalamazoo College. |
| | | TOM SHEN, Chief Strategy Officer Tom Shen joined CBG Holdings in February 2008 as a board member and Chief Strategy Officer. His primary areas of focus are corporate strategy and product evangelist. Prior to joining CBG, Tom served as an officer in the role of Executive Vice President at Digital Insight (NASDAQ: DGIN), an internet banking and payments provider. He oversaw operations and helped launch a family of industry–changing on-line services. In February 2007, Intuit Corporation (NASDAQ: INTU) acquired Digital Insight. Tom stayed to ensure the smooth transition of the company and left in November 2007 to focus on board work. Mr. Shen was born in Taiwan and immigrated to the United States as a teenager. In 1982, he formed Software Dynamics, Incorporated to serve the financial service industry. As Chairman, CEO and President, he was responsible for guiding SDI´s technical staff, human resources, and administration. By 2001, SDI was profitably delivering front office teller, platform, call center, and CRM value to over 1,000 financial institutions worldwide, from multi–billion multi–nationals to local community banks, generating revenues in excess of $20MM. Tom sold his West Hills, California company to S1 Corporation (NASDAQ: SONE) in late 2001. He served as General Manager with S1 for 2 years, successfully transitioning and growing S1´s branch business by over 50%. He retired from S1 in September 2003. Mr. Shen currently serves as board and advisory member of several private companies and organizations. He is married and has three children. He is active within his church, the Community Christian Alliance Church, where he contributes in teaching, mentoring, and growth group ministries. In his retirement, Mr. Shen graduated Summa Cum Laude from The Master´s College with a Bachelor´s Degree in Christian Ministries (2004). |
| | | JACE DAY, President and CEO, Cardinal Software Jace Day is the CEO of Cardinal Software, responsible for the business development, sales and marketing, delivery and customer support for all products and services offered by the company. Prior to joining CBG, Jace served as Vice President and General Manager at S1 Corporation, an Atlanta-based financial services software company, where he was responsible for business development, sales and marketing, professional services, customer support, and special projects for community and regional financial institutions ranging in asset size from de novo to $4 billion. Jace served on S1´s extended senior management team, lead a joint Executive Advisory Committee between S1 and S1 customers and served on a Human Resources committee who reviewed and approved employee performance award nominations for more than 1,500 employees. Jace was recognized as S1´s Top Leader for his vital role in renewing S1´s commitment to the community & regional market segment by focusing product development, aligning sales and marketing efforts, and improving implementation and support services. Prior to joining S1, Jace served in various leadership positions with Dallas-based Regency Voice Systems, Inc., providing interactive voice response and other information-delivery technologies to community and regional financial institutions prior to its acquisition by S1 Corporation in 2002. During Jace´s seven year tenure at Regency, the company increased its customer base to over 1,600 community banks, won numerous awards and recognition for the company´s customer support model, and achieved unprecedented profitability. Jace was also responsible for the development of numerous partner relationships on both the sales and supplier sides of the business. |
| | | MYERS DUPUY, President, cbanc Network Myers Dupuy began his career with Q UP in 1997, helping build the Q UP Internet Banking System product and the company. Myers built and managed departments for Support, Implementation, Documentation and Training. Myers was with Q UP through 2001, and over his tenure there also served roles in QA and Sales Engineering. After S1 purchased Q UP, Myers came on as VP of Operations for CoreTrac, helping build the operations side of the business, from install to support and sales engineering. After four years in that role, Myers took over a sales territory, selling CoreTrac´s CRM product. Myers´ next move was to come to CBG as President of the Collaborative Banking Network. |
| | | MATT FLAKE, President, Q2 Software Matt currently serves as President of Q2 Software, Inc. Prior to his role as President, Matt was responsible
for sales, marketing and business development for Q2 as well as the holding company, CBG Holdings, Inc. Over the
last three years he has been a significant contributor to the growth and strategic direction of the organization.
With more than 15 years of experience in the financial services industry, including sales and banking operations
Matt is intensely focused on helping Regional and Community Financial Institutions compete with the money center
banks. Matt received his degree in Business from Baylor University. |
| | | ADAM ANDERSON, Chief Technology Officer As CTO, Adam Anderson manages the development, support, quality assurance and hosting teams for Q2 Software. Anderson is responsible for creating, delivering and supporting the company´s product, while integrating the teams at Q2 to maximize customer satisfaction and innovation. An established player in global IT, Anderson brings more than 15 years of technology and software management expertise to CBG including his management role at CipherTrust, the leading provider of enterprise class email security solutions, where he was the Vice President responsible for product development, customer support and professional services. He also made distinct contributions to Q UP Systems and Servana.com as Vice President of Internet Operations. Anderson was also the Chief Network Engineer for Harte–Hanks Response Management in Austin, Texas. Anderson holds a Bachelor of Science in Economics from Indiana University. He has also completed graduate work in Computational Economics at the University of Texas. |
| | | SUZETTE JUNIER, Vice President, Compliance Suzette Junier joined Q2 Software in mid–2006 to provide leadership and guidance related to regulatory compliance and product direction. She brings Q2 more than 25 years of operational banking and regulatory compliance experience within community banking. Prior to joining Q2, Ms. Junier was Senior Vice President of North Bay and The Vintage Bank from September 1999 through January 2006 where she was responsible for Information Technology, Bank Operations and Electronic Banking. Before joining North Bay and The Vintage Bank in 1999, she was Vice President with SierraWest Bank from May 1998 through September 1999 and Vice President of Information Services and Operations Administrator for Continental Pacific Bank from March 1989 through May 1998. From September 1980 to March 1989, she held several management positions with Fremont Bank. Most recently Ms. Junier held the position of Strategic Services Manager with FiServ/ITI where she provided strategic services consulting to C–level executives utilizing the ITI core solution. Ms. Junier is also a member of Western Independent Bankers (WIB), Western States User Group (WSUG) and a graduate of the BAI Graduate School of Operations and Technology. |
| | | DOUG KUHN, Vice President, Finance and Operations Doug Kuhn currently serves as Vice President of Finance and Operations for CBG Holdings. Mr. Kuhn previously served as COO of Cardinal Software and President of Q2 Software. Prior to CBG, Mr. Kuhn held various leadership positions at S1 Corporation where he was responsible for the operations of S1´s internet and voice banking business unit for 2,200 community banks with annualized revenue of $40 million. In addition to serving on S1´s Executive Advisory Council and extended Senior Management Team, Mr. Kuhn was a featured speaker at customer forums and served as a team leader for strategic initiatives involving professional services, customer support, sales, marketing, legal, development, and product management teams. Mr. Kuhn´s background in finance and software operations began in the energy industry, where he held various accounting and management positions and became involved with enterprise software applications. Mr. Kuhn graduated cum laude from Stephen F. Austin State University with a Bachelor of Business Administration Degree in Accounting. He resides in Austin, Texas with his wife of 19 years and their three children. |

| | | JEFF DIEHL Jeff invests in venture and growth-oriented companies in the software, IT-enabled business services and consumer internet/media sectors. Jeff serves on the Boards of Directors of Adams Harris, ArrowEye Solutions, CBG Holdings, Inc., KPG Ventures, MxLogic, Paylocity, SnagAJob, StrataVia, Thought Equity Motion and WhiteFence. He is a Board Observer at Latinvest and SPS Commerce. He has also been involved with American Wholesale Insurance, BirdsEye, E4X, Gevity HR (NASDAQ: GVHR), Kappa Smurfit (LSE: SKG.L), Setanta, Scientific Protein Labs and TicketsNow (bought by Ticketmaster). Before joining in 2000, Jeff served as a Principal for The Parthenon Group, a Boston-based strategy consulting and principal investing firm with Bain Consulting roots. At Parthenon, he led strategy consulting case teams for small and mid-cap clients in a range of industries, including business and consumer services, software, communications and networking, and financial services. In addition, he executed LBO due diligence assignments and advised portfolio companies for Parthenon Capital, a $350 million private equity fund. Prior to Parthenon, Jeff served as a management consultant for Spire Group, a boutique consulting firm focused on advising business and consumer service firms in the Fortune 500. |
| | | MATTHEW T. DOYLE Matthew T. Doyle is Mayor of the City of Texas City and Vice Chairman of the Board and CEO of Texas First Banks – three banks with 13 locations. A 1980 graduate of Texas Tech University with a Bachelor´s Degree in Finance, his alma mater honored him with the Young Alumnus Outstanding Achievement Award in 1993. Upon graduation, he was affiliated with the Mangum Brick Company, Mangum, Oklahoma; and in 1981 was elected to the Board of Directors, assuming the seat held by his grandfather. The company was founded by his great–grandfather in 1902. Doyle has completed additional studies at the American Bankers Association Collection School, Houston; Oklahoma University/American Bankers Association Installment School; and the Southwestern Graduate School of Banking at Southern Methodist University. Doyle is a Board Member of the Independent Bankers Association of Texas and a member of the Young Bankers Division, serving as President in 1990. He is a Board Member of the Independent Community Bankers of America; Executive Vice President and Board Member, United States Management Corporation, Hitchcock; Board Member, The IndependentBankers Bank, Dallas; and was appointed by the Governor to the Texas Rehabilitation Commission. Doyle was elected to the City Commission of the City of Texas City in 2000 and 2002, where he served as Mayor Pro Tem. In 2004 he was elected as Mayor of the City of Texas City. | | | DR. WILLIAM CARDEN Dr. Carden is President and CEO of The Carden Group, a Waco based strategic planning and market research consulting firm. He has taught at and serves as an instructor at a number of banking schools. He is the former Director/Dean of the National School of Community Bank Management at Texas Tech University, and has served as the director of the National Bank Compliance School for the Conference of State Bank Supervisors. He is a former member of the Waco City Council. Carden was the Director of the Center for Banking and Financial Institutions at Baylor University in Waco, Texas. He graduated from Baylor University with a B.A. in Philosophy and an M.A. in History; from Emory University in Atlanta, Georgia, with a Ph.D. in Intellectual History; and from the Stonier Graduate School of Banking at Rutgers University. Dr. Carden has enjoyed success as a bank president, as owner of an import–export company and of a mortgage company and as president of a Dallas based real estate investment firm. He was EVP of Word, Inc., a subsidiary corporation of ABC/Capital Cities Communication. Prior to entering the business world, he was a Professor of History and Assistant to the President for Academic Affairs at Baylor University. Dr. Carden has published articles on the subjects of strategic planning, banking, personnel, regulatory compliance, investments, higher education, international economics and micro technology. He is the author of Interface: Training the Hardcore Unemployed and Financial Executive: A Management Development Program for Bank Officers. He has co–authored Loan Underwriting and Documentation Manual and Bank Policies and Procedures Manual. |
